Welcome to Connexzia (“Connexzia,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of https://connexzia.com (the “Site”) and any related services, features, or content offered by Connexzia (collectively, the “Services”). By accessing or using the Site and Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use immediately.
1. Definitions
- “Account” means the user account you create to access certain features of the Services.
- “Client” means any company, organization, or individual that uses the Site or Services to post job openings or procure recruiting solutions.
- “Recruiter” means any individual or third-party recruitment professional who registers with Connexzia to submit candidate profiles or otherwise assist in filling job openings.
- “User,” “you,” or “your” means any visitor to, or registered user of, the Site or Services, whether as a Client, Recruiter, or otherwise.
- “Content” means all text, graphics, images, video, or other materials uploaded, submitted, or posted to the Site by Users or by Connexzia.
2. Eligibility & Account Registration
- Eligibility.
- You must be at least 18 years old and have full power and authority to enter into these Terms.
- By registering for an Account, you represent and warrant that you meet all eligibility requirements.
- Account Creation.
- To access certain features (e.g., posting jobs, submitting candidate profiles), you must register for an Account.
- You agree to provide accurate, current, and complete information during registration and to update that information as necessary.
- You are solely responsible for safeguarding your password and Account. You agree not to share your login credentials with anyone. Any activity occurring under your Account is your responsibility.
- Account Types.
- Client Accounts: Used by employers to create job postings, review recruiter submissions, and manage candidate shortlists.
- Recruiter Accounts: Used by third-party or freelance recruiters to browse job postings, submit candidate profiles, and track submissions.
- Account Termination.
- Either party may terminate an Account at any time. Connexzia reserves the right to suspend or terminate any Account if we determine, in our sole discretion, that you have violated these Terms.
3. Services & Use of the Site
- Job Posting & Candidate Submission.
- Clients may post job openings and specify hiring requirements, compensation details, and recruiter fees (e.g., recruiter payout or commission percentage).
- Recruiters may browse available job postings and submit qualified candidate profiles. All submissions must include accurate candidate information and, if required, an uploaded resume in the prescribed format.
- Marketplace Model.
- Connexzia operates a recruitment-marketplace model:
- Clients pay a placement fee—calculated as a percentage of candidate compensation (e.g., 15% of the candidate’s first-year salary).
- Recruiters who submit a candidate that is subsequently hired may earn a commission (e.g., 20% of Connexzia’s placement fee).
- All fees and commissions must be agreed upon by the Client, Recruiter, and Connexzia before any placement.
- Connexzia operates a recruitment-marketplace model:
- Payment Terms.
- Clients are invoiced for placement fees upon successful hire of a candidate. Payment is due within thirty (30) days of invoice date unless otherwise agreed in writing.
- Recruiters receive commission payments within thirty (30) days of the Client’s payment, provided all requirements are met:
- Candidate is successfully onboarded.
- All required documentation (e.g., signed placement agreement) is submitted.
- Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
- Use Restrictions.
- You agree not to:
- Use the Services for any unlawful purpose or in violation of any local, state, national, or international law or regulation.
- Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
- Engage in any activity that interferes with or disrupts the Services.
- Use robots, spiders, data mining, or other automated means to access or collect data from the Site without our express written permission.
- Upload or transmit any viruses, malware, or other harmful code.
- You agree not to:
- Content Standards.
- All Content you submit must be accurate and not misleading.
- You retain all rights to your own Content but grant Connexzia a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display that Content in connection with operating and promoting the Site and Services.
4. Intellectual Property
- Connexzia Proprietary Rights.
- All intellectual property rights (including but not limited to trademarks, service marks, logos, text, graphics, and design) on the Site and in the Services are owned by Connexzia or licensed to Connexzia.
- You agree not to reproduce, distribute, adapt, modify, publicly display, perform, or create derivative works of any portion of the Site or Services without Connexzia’s prior written consent.
- User-Provided Content.
- By posting or submitting any Content (e.g., resume, job description, profile information), you represent and warrant that:
- You own all rights to such Content or have obtained all necessary rights, licenses, and permissions.
- Posting that Content does not violate any third-party rights or applicable law.
- Connexzia does not claim ownership of user-provided Content, but by submitting it, you grant Connexzia the right to use, copy, distribute, and display such Content in connection with the Services.
- By posting or submitting any Content (e.g., resume, job description, profile information), you represent and warrant that:
5. Privacy & Data Protection
- Privacy Policy.
- Your privacy is important to us. Our Privacy Policy (available at https://connexzia.com/privacy-policy) explains how we collect, use, and share your personal information. By using the Site and Services, you consent to our collection and use of your personal data as outlined in the Privacy Policy.
- Data Security.
- Connexzia employs industry-standard security measures to protect user data. However, no method of transmission over the Internet or method of electronic storage is 100% secure. You acknowledge that Connexzia cannot guarantee absolute security.
6. Disclaimers & Limitation of Liability
- “As Is” Basis.
- THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OR CONDITION, EXPRESS OR IMPLIED. CONNEXZIA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- No Guarantee of Results.
- While Connexzia strives to connect qualified candidates with clients, we do not guarantee that any candidate will be hired or that any job need will be fulfilled. All matches and placements are subject to the decisions of Clients and Recruiters.
- Limitation of Liability.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CONNEXZIA NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE USE OF (OR INABILITY TO USE) THE SITE OR SERVICES, EVEN IF CONNEXZIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- IN NO EVENT SHALL CONNEXZIA’S AGGREGATE LIABILITY EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO CONNEXZIA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
- Indemnification.
- You agree to indemnify, defend, and hold harmless Connexzia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- Your use of the Site or Services;
- Your violation of these Terms;
- Your violation of any applicable law or third-party rights; or
- Any Content you submit or make available through the Site or Services.
- You agree to indemnify, defend, and hold harmless Connexzia and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
7. Termination & Suspension
- Termination by You.
- You may terminate your Account at any time by contacting support@connexzia.com or through your Account settings, if applicable. All provisions that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
- Termination by Connexzia.
- Connexzia reserves the right to suspend or terminate your access and use of the Site or Services at any time, with or without notice, if we determine, in our sole discretion, that you have violated these Terms or any applicable law, or for any other reason deemed necessary.
- Effect of Termination.
- Upon termination, all licenses and rights granted to you in these Terms will immediately cease. You must immediately stop using the Services and delete all copies of any related materials in your possession or control.
8. Modifications to Terms & Services
- Changes to Terms.
- Connexzia may modify these Terms at any time. If we make material changes, we will provide notice by posting the updated Terms on the Site and updating the “Last updated” date above. Your continued use of the Site or Services after any such changes constitutes your acceptance of the new Terms.
- Changes to Services.
- Connexzia reserves the right to modify or discontinue any aspect of the Services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
9. Third-Party Links & Services
- The Site may contain links to third-party websites, products, or services not owned or controlled by Connexzia. We do not endorse or assume any responsibility for any such third-party content. If you access a third-party site, you do so at your own risk. We strongly advise you to review the terms and privacy policies of any third-party site you visit.
10. Dispute Resolution & Governing Law
- Governing Law.
- These Terms and any disputes arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
- Informal Resolution.
- Before filing a claim, you and Connexzia agree to try to resolve the dispute informally for at least thirty (30) days by presenting the dispute in writing to Connexzia’s legal department at:

- Arbitration.
- If the dispute cannot be resolved informally within thirty (30) days, either you or Connexzia may initiate binding arbitration in accordance with the rules of the American Arbitration Association (“AAA”).
- The arbitration will take place in New York , New York (or another location mutually agreed to by the parties) before one arbitrator. If you are not a resident of the United States, arbitration will be conducted in English.
- The arbitrator’s decision and award will be final and binding, and judgment on the award may be entered in any court having jurisdiction.
- Each party will bear its own costs and fees associated with arbitration, except that the losing party (or the party seeking relief in arbitration who does not obtain relief) will reimburse the prevailing party’s reasonable attorneys’ fees and costs.
- Waiver of Class Actions.
- YOU AND CONNEXZIA AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
11. Miscellaneous
- Severability.
- If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect, and the invalid, illegal, or unenforceable provision will be replaced by a valid, legal, and enforceable provision that most closely matches the original intent.
- Waiver.
- No waiver of any breach of these Terms will be deemed a waiver of any subsequent breach. Any waiver must be in writing and signed by the party granting the waiver.
- Entire Agreement.
- These Terms, together with the Privacy Policy and any other policies or terms expressly incorporated herein by reference, constitute the entire agreement between you and Connexzia regarding your use of the Site and Services.
- Assignment.
- You may not assign your rights or obligations under these Terms without Connexzia’s prior written consent. Connexzia may assign its rights and obligations under these Terms at any time without notice.
- Notices.
- Connexzia may provide notices to you by email (to the email address associated with your Account) or by posting on the Site. You consent to receive notices electronically and agree that all agreements, notices, disclosures, and other communications that Connexzia provides electronically satisfy any legal requirement that such communications be in writing.
